By accessing or using the EXPANSEAFY platform ("Platform"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. These Terms constitute a legally binding agreement between you ("User," "Client," or "Partner") and EXPANSEAFY Pte. Ltd. and its affiliated entities ("EXPANSEAFY," "we," "us," or "our"). If you do not agree to these Terms, you must not access or use our Platform.
EXPANSEAFY operates a cross-border expansion marketplace connecting enterprises, startups and multinational companies ("Clients") with curated workspace operators and professional service providers ("Partners") across Southeast Asia. Our Platform facilitates: • Access to flexible and managed office workspace across Southeast Asian markets • Connection with vetted regulatory, legal, HR, payroll and compliance professionals • Introductions to accelerators, incubators, venture networks and market-entry advisors • Expansion planning tools, ROI calculators and market intelligence resources EXPANSEAFY acts as a marketplace intermediary. We do not directly provide legal, financial, accounting, or professional advisory services. All professional services are delivered by independent Partners.
You must be at least 18 years of age and have the legal authority to enter into binding contracts on behalf of yourself or the organization you represent. By using our Platform, you represent and warrant that you meet these requirements and that all information you provide is accurate, current and complete.
To access certain features of our Platform, you must register for an account. You agree to: • Provide accurate, truthful and complete registration information • Maintain and promptly update your account information • Keep your login credentials confidential and secure • Notify us immediately of any unauthorized use of your account • Accept responsibility for all activities conducted under your account EXPANSEAFY reserves the right to refuse registration, suspend, or terminate accounts at our sole discretion.
EXPANSEAFY facilitates introductions and connections between Clients and Partners. Specific terms, fees, timelines and deliverables for workspace agreements and professional services are governed by separate service agreements executed directly between Clients and Partners. EXPANSEAFY may charge platform fees, subscription fees, introduction fees, or success fees as outlined in your specific engagement agreement. All fees are quoted in USD unless otherwise specified. Payments are non-refundable unless expressly stated in your engagement agreement.
EXPANSEAFY applies a due diligence process to onboard Partners, including credential verification, reference checks and regulatory compliance assessment. However, we do not guarantee the quality, accuracy, legality, or fitness for purpose of services delivered by Partners. Clients are responsible for conducting their own due diligence before entering service agreements with Partners.
You agree not to use our Platform to: • Violate any applicable law or regulation in any jurisdiction • Misrepresent your identity, credentials, or organizational affiliation • Engage in fraudulent, deceptive, or misleading conduct • Infringe the intellectual property rights of EXPANSEAFY or third parties • Transmit malware, spam, or other harmful content • Circumvent fees by conducting transactions outside of the Platform after an introduction • Reverse engineer, scrape, or copy Platform content without written authorization • Use the Platform for any purpose other than legitimate business expansion activities
All content, technology, branding, trademarks, trade names, logos, methodologies and materials on our Platform are the exclusive property of EXPANSEAFY or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform solely for its intended purposes. No rights are granted beyond this limited license.
Both parties acknowledge that in connection with use of the Platform, each may receive or have access to confidential business information. Each party agrees to maintain the confidentiality of such information, use it solely for the purpose of the business relationship facilitated by EXPANSEAFY and not disclose it to third parties without prior written consent.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. EXPANSEAFY DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. EXPANSEAFY DOES NOT PROVIDE LEGAL, FINANCIAL, TAX, OR PROFESSIONAL ADVICE. INFORMATION ON THE PLATFORM IS FOR INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE PROFESSIONAL COUNSEL.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXPANSEAFY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM OR SERVICES OBTAINED THROUGH IT. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT PAID BY YOU TO EXPANSEAFY IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend and hold harmless EXPANSEAFY and its affiliates, officers, directors, employees, agents and licensors from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising from your use of the Platform, violation of these Terms, infringement of any third-party rights, or any content you submit to the Platform.
These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or your use of the Platform shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration administered by the Singapore International Arbitration Centre (SIAC) under its rules, with proceedings conducted in English in Singapore. Notwithstanding the foregoing, either party may seek interim injunctive relief from a court of competent jurisdiction.
EXPANSEAFY reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our Platform with a revised effective date. Your continued use of the Platform after such notice constitutes your acceptance of the modified Terms.
Either party may terminate the Platform relationship at any time. EXPANSEAFY may suspend or terminate your access immediately, without prior notice, if you breach these Terms or engage in conduct we determine to be harmful to our Platform, Partners, or other users. Upon termination, all licenses granted to you cease immediately.
